Terms and Conditions of Sale - Bilto

Section 1 - Introduction

Bilto Corp ("we", "us", or "our") is a professional service provider specializing in websitedesign, development, digital marketing, and SEO services. Based in Dubai, United ArabEmirates, Bilto Corp provides services, including web development, SEO, digital training,and operational consulting. These services are offered under service contracts or quotesgoverned by these Terms and Conditions (T&Cs). Collectively, the services offered by Bilto Corp are referred to as “Services” or “Bilto Proposals.”

By engaging with us, you ("Client", "you", "your") agree to be bound by these T&Cs. TheseT&Cs apply to any and all proposals, contracts, or quotes issued by Bilto Corp for theprovision of our services.

Section 2 - Scope

These T&Cs govern all Bilto Proposals submitted for orders placed with Bilto Corp by anyprofessional client (hereinafter referred to as the "Client"). By placing an order, the Clientfully and unconditionally agrees to these T&Cs. Any conflicting terms, including the Client’sgeneral or specific terms, will not override these T&Cs unless explicitly agreed to in writingby Bilto Corp.

The Client guarantees compliance with these T&Cs by its employees, representatives, andagents. Furthermore, the Client confirms that they have received adequate information andadvice from Bilto Corp to ensure the services align with their needs

Section 3 - Services Included in Bilto Proposals

3.1 Website Audits

Bilto Corp conducts comprehensive website audits, assessing technical structure, SEOperformance, and providing actionable strategies for improvement. Findings andrecommendations are delivered through reports or consultations.

3.2 Website Design and Development

Bilto Corp provides website design and development services, including design mockups,wireframes, prototyping, and development. Third-party tools and integrations may be usedwhere necessary

3.3 Website Maintenance

  • Delivery and Handover: Once the website is developed and transferred to theClient’s Webflow account, it is considered delivered, regardless of production status,unless otherwise stipulated in the contract.
  • Client Responsibility: Unless explicitly agreed, the Client is responsible for theongoing hosting and maintenance of the website after delivery.
  • Webflow Hosting Management: If Bilto Corp manages the hosting, associatedadministrative tasks and costs are included in the maintenance package.
  • Domain Management: Domain name hosting is managed by Bilto Corp for annualinvoicing of technical and IT-related fees, as facilitated through a third-party provider.

3.4 Programming and Tool Integration

Bilto Corp integrates third-party tools and software (e.g., marketing, analytics, CRM tools)into the Client’s website, as required.

3.5 Digital Training

We offer in-person and remote digital training services, covering Webflow site creation, SEObasics, and the integration of tools on the website. Remote training is the default formatunless otherwise agreed.

3.6 Search Engine Optimization (SEO)

  • Consulting: SEO consultations and strategic advice are provided, with writtenreports summarizing key findings and recommended actions.
  • SEO Production: Includes optimization of the website’s technical structure andcontent. Deliverables will be specified in each proposal.

Section 4 - Service Execution Conditions

4.1 Technical Fees

All technical, IT, and logistical costs associated with the execution of Bilto Proposals arethe responsibility of the Client and are not included in service fees unless explicitly stated.

4.2 Cancellations and Postponements

  • Cancellation Policy: Cancellations must be communicated in writing via email orregistered mail. The following cancellation fees apply:
  • ○ At least 15 business days before the service: 30% of the service fee.
  • ○ Fewer than 15 business days before the service: 50% of the service fee.
  • Postponement: Requests to postpone services must be submitted in writing at least15 business days in advance.

4.3 Service Hours Validity

Service hours are valid for three months and may be accumulated during this period, unlessotherwise stated in the agreement.

4.4 Service Format

Services are generally delivered remotely, unless otherwise specified in the proposal orcontract.

4.5 Force Majeure

Bilto Corp shall not be held liable for failure to perform its obligations under this agreementif such failure is due to an event of force majeure, including but not limited to naturaldisasters, government action, war, civil unrest, or other circumstances beyond its reasonablecontrol.

4.6 Service Termination

Bilto Corp reserves the right to suspend or terminate services for non-compliance, failure tomeet payment obligations, or violation of these T&Cs.

Section 5 - Exclusions

Services provided under Bilto Proposals are limited to those specified in Section 3.Exclusions include but are not limited to:

  • Management and associated costs for third-party tools integrated into the Client’swebsite
  • Payment and handling of any additional costs or services beyond the hosting anddomain management explicitly mentioned in the proposal.

Section 6 - Duration of Services

6.1 Duration of Bilto Proposals

The duration of Bilto Proposals is specified in the contract or proposal. Once the periodends, the Client must enter into a new proposal for continued services.

6.2 Duration of Digital Training Services

Training hours are valid for up to three months, unless otherwise stated in the contract.

Section 7 - Billing and Payment

7.1 Proposal Submission and Acceptance

All proposals from Bilto Corp are valid for one month from issuance. A proposal isconsidered accepted once a signed order form is received by Bilto Corp within this period.Acceptance of the proposal signifies the Client’s unconditional agreement to these T&Cs.

6.2 Duration of Digital Training Services

  • Prices are quoted in AED (or Euros), excluding taxes. The Client is responsible forapplicable VAT, customs fees, and other charges.
  • Payments are due within 30 days from the invoice date, unless otherwise specified.
  • Late payments will incur penalties as outlined by applicable UAE law, and servicesmay be suspended until full payment is received.

7.3 Maintenance Service Billing

Website maintenance services are billed annually and automatically renewed unlessterminated by the Client with at least three months’ written notice before the renewal date.

Section 8 - Liability Limitations

8.1 General Liability

Bilto Corp’s liability for any claim arising from this agreement is limited to the total fees paidfor the relevant service. We are not liable for any indirect or consequential damages, such asloss of profits, business interruptions, or data loss.

8.2 Responsibility for Third-Party Failures

We are not liable for any failure in services caused by third-party providers (e.g., hostingservices, domain registrars, or payment gateways).

8.3 Client Responsibilities

The Client is responsible for safeguarding login credentials and adhering to these T&Cs.Bilto Corp is not liable for losses or damages caused by the Client’s negligence or misuseof login information.

Section 9 - Force Majeure

Both parties are relieved from performance under this agreement in the event of forcemajeure, including but not limited to natural disasters, strikes, government restrictions, orany events outside of their control. Notification must be made within five days of theoccurrence of such an event.

Section 10 - Intellectual Property

All training materials, content, and resources provided by Bilto Corp remain the exclusiveproperty of Bilto Corp. The Client is granted a limited, non-transferable license to use thesematerials internally for one year from the date of delivery.

Section 11 - Confidentiality

Both parties agree to maintain confidentiality regarding all shared information, includingtechnical, commercial, and financial data, and ensure its protection againstun authorized disclosure

Section 12 - Data Protection

The Client agrees to comply with all applicable data protection laws, including the UAEFederal Data Protection Law (Federal Decree-Law No. 45 of 2021) and the General DataProtection Regulation (GDPR) for EU-based Clients. Any personal data collected will beprocessed solely for service delivery, compliance purposes, and legal obligations.

Section 13 - Governing Law and Jurisdiction

These T&Cs are governed by the laws of the United Arab Emirates. Any dispute arisingfrom or in connection with these T&Cs shall be resolved through the Dubai InternationalArbitration Centre (DIAC), and the jurisdiction will be exclusive to the Dubai courts.
